Channel Manager Terms

These Channel Manager Terms ("Terms") form part of the agreement between you and UpBookings ("we", "our", or "us") when you use our channel manager to connect properties to online travel agents, booking engines, metasearch channels, and other distribution partners ("Channels"). They supplement our Service Terms and Conditions and Privacy Policy. If there is a conflict, these Terms apply only to the channel manager.

The service

Our channel manager is a hosted inventory and distribution service. It lets you manage availability, rates, restrictions, and bookings across the Channels you connect. You decide which Channels to connect and which data to share with each one. There is no software for you to install or host.

We may improve or change the channel manager from time to time. We will not materially reduce core functionality you are paying for during an active subscription period without reasonable notice.

Your account

Registration information must be accurate and kept up to date. User credentials are issued to named individuals and must not be shared. You are responsible for all activity under your account and for ensuring that anyone who uses the channel manager on your behalf complies with these Terms.

Your data

"Your Data" means property details, room types, rate plans, availability, prices, restrictions, bookings, and guest details that you or your users submit to or generate through the channel manager. Your Data remains yours. You grant us a limited right to host, copy, store, transmit, and process Your Data only as needed to provide the channel manager, including sending it to the Channels you connect, to provide support you request, and to meet our legal obligations.

We will not use Your Data to contact, market to, or enter into a business relationship with your clients or their guests, except as necessary to deliver the services you have asked us to deliver. You are responsible for the accuracy and legality of Your Data and for having the rights and permissions needed to provide it to us and to have us transmit it to connected Channels.

Where Your Data includes personal information about guests, you are the controller of that data and we process it on your instructions as described in our Privacy Policy.

Acceptable use

You must use the channel manager lawfully and in line with applicable travel, consumer, data protection, and anti-spam laws. You must not:

  • List, connect, or manage a property you do not own or are not authorised to act for
  • Publish availability you do not have, or rates you do not intend to honour
  • Take or accept bookings you know you cannot fulfil, or submit false booking, cancellation, or modification data
  • Misrepresent a property, its location, facilities, or licensing status on a connected Channel
  • Circumvent a Channel's rules on rates, parity, cancellation, or content
  • Share credentials, probe or attack the service, exceed reasonable API limits, or access the service through unpublished interfaces
  • Send spam or unsolicited communications through connected Channels

We may remove content or suspend access where we reasonably believe your use breaches these Terms, endangers the service, or exposes us or other customers to legal risk.

Third-party channels

Channels are operated by third parties and are not under our control. Your relationship with each Channel, including its commercial terms, commission, content rules, and treatment of your data, is between you and that Channel. We do not warrant the availability, accuracy, or performance of any Channel and are not liable for a Channel's acts, omissions, outages, or interface changes.

When you connect a Channel, you authorise us to exchange Your Data with it as needed for that connection to work. You may disconnect a Channel at any time through the platform.

Security

We implement appropriate technical and organisational measures to protect Your Data. Data transmitted between you, our platform, and connected Channels is encrypted in transit. No system can be guaranteed impenetrable, and we cannot warrant that security measures will never be defeated.

Service availability

We aim to provide reliable access to the channel manager and to correct errors or interruptions promptly. Scheduled maintenance, Force Majeure events, your own systems or connectivity, and outages or changes at connected Channels may affect availability. We are not liable for unavailability caused by those factors.

Suspension

We may suspend access if an invoice remains unpaid beyond a reasonable period, or if your use breaches these Terms or applicable law. Where possible, we will give notice and a reasonable opportunity to resolve the issue before suspending. We may suspend immediately where the problem is urgent, such as a compromised account or use that threatens the security or operation of the service.

End of service and data export

If your subscription ends or you cancel the channel manager, your right to access it ends. During your subscription and for a reasonable period afterwards, you may export Your Data from the platform. After that period we may delete Your Data in line with our retention practices, except where we must keep it by law.

Liability

To the maximum extent permitted by law, we are not liable for indirect, special, incidental, or consequential loss arising from your use of the channel manager or from any connected Channel. Our total liability relating to the channel manager is limited to the fees you paid us for the channel manager in the three months before the event giving rise to the claim, except where liability cannot lawfully be limited.

You will indemnify us against third-party claims arising from your material breach of these Terms, from Your Data infringing a third party's rights, or from your violation of applicable law.

Changes to these Terms

We may update these Terms from time to time. If a change materially reduces your rights, we will give reasonable advance notice by email or through the platform. Continuing to use the channel manager after a change takes effect means you accept it. The "Last updated" date at the top of this page shows when these Terms were last revised.
